Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Konshus.ai and the Konshus Vault (collectively, the “Service”), operated by Konshus.ai (“Konshus,” “we,” “us,” “our”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

• You must be at least 18 years old to use the Service.
• You are responsible for the activity on your account and for keeping your credentials secure.
• You must provide accurate information when you sign up and keep it current.
• One account per person. Don't impersonate anyone else.

Konshus is a private Vault for personal context and a system for distilling that context into a portable representation of how you think. The Service includes:

• The Vault — storage and organization of journal entries, pasted text, ChatGPT and Claude exports, documents, and prompts.
• Distillation — extraction of atoms, patterns, and persona artifacts on items you submit for distillation.
• Persona exports — formatted outputs such as Whisper, Briefing, Full Mirror, and Crisis Handoff.
• Optional add-ons offered from time to time, which may carry separate pricing and terms.

We are in active beta. Features may change, be added, or be removed.

• Paid plans are billed annually in advance. The price you sign up at is the price stated at checkout.
• Founding member pricing, when offered, is locked for the lifetime of an unbroken active subscription.
• Subscriptions auto-renew at the end of each billing cycle unless you cancel before renewal.
• You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; access continues until then.
• Taxes are calculated at checkout where applicable.
• We use Stripe to process payments. By paying, you also agree to Stripe's terms.

• 14-day refund window. If you decide Konshus is not for you within 14 days of your initial purchase, email us for a full refund.
• Beta shutdown commitment. If we cease operations during your paid term, we will refund the unused, pro-rata portion of your most recent payment. This commitment survives acquisition by another operator.
• Outside of the above, payments are non-refundable.

You own your content. Everything you put into your Vault — journal entries, imports, documents, prompts, and the atoms and persona artifacts derived from them — belongs to you.

You grant Konshus a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, and create derivative works of your content solely to operate the Service for you: rendering your Vault back to you, running distillation when you ask for it, generating exports, and providing support. This license ends when you delete the content or close your account.

No training rights. We do not use your content to train our own or any third party's foundation models, and we do not grant our sub-processors the right to do so.

You agree not to:

• Use the Service to store or distribute content that is illegal, violates third-party rights, or that you don't have the right to upload (including others' private communications without consent).
• Upload malware, attempt to access accounts or data that are not yours, or interfere with the operation of the Service.
• Reverse engineer, scrape, or systematically extract the Service except as permitted by law.
• Resell, sublicense, or provide the Service to third parties without our written permission.
• Use the Service to harass, threaten, or harm any person.

We may suspend or terminate accounts that violate these rules.

The Service uses AI models to extract atoms, surface patterns, and generate persona artifacts. These outputs are probabilistic. They can be incomplete, inaccurate, or misleading. They are not advice — legal, medical, financial, psychological, or otherwise — and should not be relied on as such. You are responsible for how you use any output.

We make no warranty that the outputs will be accurate, fit for any particular purpose, or consistent over time. Where models or providers change, output style or quality may change.

The Konshus name, logo, brand, software, prompts library, design system, and all related materials are owned by Konshus and protected by intellectual property laws. These Terms do not grant you any rights in our marks or technology except the limited right to use the Service.

By you: You can stop using the Service at any time. From your account you can export your Vault and delete your account. Once you delete, content is removed as described in the Privacy Policy.

By us: We may suspend or terminate your access if you violate these Terms, if required by law, or if continuing to provide the Service would expose us or other users to material risk. We will give reasonable notice where possible and a chance to export your data, except in cases of serious abuse.

Sections that by their nature should survive termination will survive (e.g., ownership, disclaimers, limitation of liability, dispute resolution).

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any data will be preserved without loss.

To the maximum extent permitted by law, Konshus and its operators, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or related to the Service or these Terms is limited to the greater of (a) the amounts you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD $100.

You agree to defend, indemnify, and hold harmless Konshus from any claim, demand, or damages (including reasonable attorneys' fees) arising out of (a) content you upload to the Service, (b) your violation of these Terms, or (c) your violation of any law or the rights of a third party.

We may update the Service and these Terms from time to time. For material changes to the Terms, we will update the effective date and notify you by email or in-app notice before they take effect. Your continued use of the Service after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. (Placeholder — to be confirmed before counsel review.)

Informal resolution first. Before filing any formal claim, you agree to email us at hello@konshus.ai with a description of the issue and give us 30 days to resolve it.

Any unresolved dispute will be brought exclusively in the state or federal courts located in Delaware, USA, and you consent to personal jurisdiction there. You and Konshus each waive any right to a jury trial. Claims must be brought individually and not as part of a class action.

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Konshus regarding the Service.
• Severability. If any provision is unenforceable, the rest stays in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
• Notices. We may send notices by email to the address on your account or by posting in the Service.
